GENERAL TERMS AND CONDITIONS OF SALE (GTC).

As of January 2026

These General Terms and Conditions of Sale (GTC) apply to deliveries and services provided by SILITECH AG, Worbstrasse 173, CH 3073 Gümligen, Switzerland (hereinafter referred to as "SILITECH").

Scope of application, priority, defense clause

These General Terms and Conditions apply to all offers, deliveries, and services provided by SILITECH to customers.

Any deviating or supplementary terms and conditions of the customer shall only apply if SILITECH expressly acknowledges them in writing.

In case of doubt, these General Terms and Conditions shall also apply if SILITECH delivers or performs in the knowledge of deviating terms and conditions.

Customers, B2B, exclusion of custom-made products

The offer is generally aimed at business customers (B2B).

Custom-made products, customer-specific developments, non-standard contract filling, and individually agreed specifications are subject to separate written agreements. Unless a separate agreement exists, these General Terms and Conditions apply mutatis mutandis.

Offer, order, conclusion of contract

Offers made by SILITECH are subject to change without notice unless expressly designated as binding.

A contract is concluded by written order confirmation, by delivery of the goods, or by provision of the service.

Technical specifications, data sheets, safety data sheets, illustrations, and product descriptions are for informational purposes only and are only binding if this has been expressly agreed in writing.

Prices, currency, additional costs

All prices are net prices plus statutory value added tax and plus shipping, packaging, hazardous goods, customs duties, taxes, and other ancillary costs, unless expressly agreed otherwise.

The invoice currency is the currency stated in the quotation, order confirmation, or invoice.

If fees are specified in CHF, EUR, or USD in these General Terms and Conditions, the amount in the invoice currency shall apply. Example: Minimum quantity surcharge CHF 30 or EUR 30 or USD 30.

SILITECH may pass on price changes if, prior to delivery, there are significant changes in procurement costs, raw material prices, transport costs, customs duties, taxes, or official requirements, and these changes are beyond SILITECH's control. In this case, SILITECH will inform customers prior to delivery, where practicable.

Minimum quantity surcharge

For orders with a net goods value of less than CHF 100, EUR 100, or USD 100, SILITECH charges a minimum quantity surcharge of CHF 30, EUR 30, or USD 30 per order.

The net value of goods is defined exclusively as the value of the goods excluding VAT, shipping, packaging, hazardous goods, or other additional costs.

SILITECH may waive the minimum quantity surcharge in whole or in part in the case of framework agreements, special conditions, or at its own discretion.

Terms of payment, default, offsetting

Unless otherwise agreed, invoices are payable without deduction within 30 days of the invoice date.

In the event of late payment, SILITECH may charge interest on arrears at a rate of 5 percent per annum, as well as reminder and collection costs.

SILITECH is entitled to make deliveries in whole or in part only against advance payment, payment security, or cash on delivery.

Offsetting against counterclaims is only permissible if these are undisputed or have been legally established.

Terms of delivery, Incoterms, transfer of risk

Unless otherwise agreed in writing, delivery by SILITECH shall generally be made in accordance with Incoterms 2020 DAP (Delivered At Place) to the agreed delivery address.

If the customer organizes the pickup themselves or if the transaction is carried out using the customer's customer number with a transport service provider, delivery will be made in accordance with Incoterms 2020 FCA Gümligen (SILITECH AG, Worbstrasse 173, CH 3073 Gümligen).

The transfer of risk is governed by the agreed Incoterms clause.

Delivery times are non-binding unless expressly confirmed in writing as binding. Partial deliveries are permissible, provided they are reasonable.

Shipping, packaging, transport service providers

SILITECH selects the shipping method and transport service provider at its own discretion. Depending on the destination and product classification, international shipping is usually carried out via FedEx, including Regional Economy (road), as well as other suitable service providers.

Packaging and shipping costs as well as surcharges (e.g., dangerous goods, oversized items, special handling) will be shown separately or invoiced separately, unless otherwise agreed.

Transport insurance will only be taken out at the express written request of the customer and at their expense.

Dangerous goods, limited quantities, classification

Special regulations apply to products classified as dangerous goods (DG) or limited quantities (LQ) (e.g., ADR for road transport, IATA for air transport). This may result in additional requirements for packaging, labeling, documentation, and handling.

Hazardous goods surcharges per shipment:

• Limited Quantities (LQ): SILITECH charges a surcharge of CHF 25 or EUR 25 or USD 25 per shipment.

• Dangerous Goods (DG), fully regulated: SILITECH charges a surcharge of CHF 70 or EUR 70 or USD 70 per shipment.

The applicable regulations and the classification according to the manufacturer's instructions, safety data sheet (SDS), and the transport service provider's specifications are decisive for the classification (LQ or DG) and the required handling.

If additional costs or delays arise due to incomplete, late, or incorrect information provided by the customer (e.g., end use, recipient, contact persons, import requirements, desired billing method for customs duties and taxes), the customer shall bear these additional costs.

Customs, export, import, duties, service charges, customs formalities

Import duties, import tariffs, import taxes, and official fees in the destination country are generally borne by the recipient. Deviations from this rule are only valid if expressly agreed in writing.

If the customer or recipient requests that customs duties and taxes be borne by the sender or a third party (e.g., billing to sender or third party, recipient requests own customer number or special billing method), additional fees may be charged by the transport service provider or customs agent (e.g., advance payment commission, presentation commission, forwarding fees). These will be passed on if they are caused by the recipient or customer.

If SILITECH organizes the customs formalities, the following service fees apply per shipment and are invoiced as separate items:

• CH export clearance: CHF 15 or EUR 15 or USD 15 per shipment

• Import clearance in the destination country organized by SILITECH: CHF 40 or EUR 40 or USD 40 per shipment (up to a maximum of 3 customs items)

• EUR.1, if required and organized by SILITECH: CHF 65 or EUR 65 or USD 65 per shipment

"Import clearance organized by SILITECH" includes, in particular, where necessary: preparation and submission of the import customs declaration, data verification, communication with customs authorities, and, if necessary, submission of accompanying documents.

Costs incurred by transport service providers, customs agents, or authorities due to missing documents, inability to reach the recipient, official clarifications, or waiting times (e.g., storage, demurrage, official fees) will be passed on to the customer, provided that the cause is not within SILITECH's area of responsibility.

Subsequent corrections to customs declarations (e.g., adjustment of HS code, value, origin, description, Incoterm) are time-consuming and can lead to delays. Fees and consequences arising from this are generally borne by the customer, unless the correction is demonstrably caused exclusively by SILITECH. Regardless of this, delays may occur for which SILITECH is not liable, provided there is no intent or gross negligence.

If the customer or recipient requests special clearance, transit procedures, transport under T status, or clearance by an external broker, all additional costs incurred will be passed on.

Obligation to inspect, notice of defects, default of acceptance

Customers must inspect the goods immediately upon receipt. Obvious defects, incorrect deliveries, or transport damage must be reported in writing and documented (photos, batch numbers, labels, delivery note data) within 7 calendar days.

Hidden defects must be reported in writing within 7 calendar days of discovery.

If the customer fails to give notice of defects in good time, the goods shall be deemed to have been approved, to the extent permitted by law.

If the recipient is in default of acceptance or cannot be reached, SILITECH may store, return, or otherwise dispose of the goods at the customer's expense and risk. Any costs incurred as a result (transport, storage, handling, authorities) will be charged to the customer.

Warranty, subsequent performance

In the event of justified defects reported within the specified period, SILITECH shall, at its discretion, either repair the goods or provide a replacement.

Further warranty rights, in particular rescission, reduction, or compensation, are excluded to the extent permitted by law, except in cases of intent or gross negligence.

Deviations due to production and batch-related tolerances are customary in the industry and do not constitute a defect, provided that suitability for the usual purpose is not significantly impaired.

Liability

SILITECH shall only be liable for damages caused by intent or gross negligence.

Liability for indirect damage, consequential damage, loss of production, loss of profit, loss of data, or third-party claims is excluded to the extent permitted by law.

SILITECH shall only be liable for slight negligence in the event of a breach of essential contractual obligations and limited to typically foreseeable damage.

Returns, refunds, reversal of transactions, re-imports

Returns are only permitted with the prior written consent of SILITECH (RMA process).

Goods must be returned unused, undamaged, correctly labeled, and in their original packaging. Chemicals and hazardous materials are subject to additional requirements.

The costs for return shipping, reversal of the transaction, re-importation, customs formalities, and any fees are generally borne by the customer.

If SILITECH is demonstrably responsible for the return shipment (e.g., confirmed incorrect delivery), SILITECH will bear the reasonable return costs and organize the procedure.

If the customer has special requirements regarding minimum shelf life, remaining shelf life, or other product-specific properties, these must be expressly requested in writing prior to each order and confirmed by SILITECH. If no such prior agreement is made, the delivered goods shall be deemed to be in accordance with the contract. Requirements asserted retrospectively shall not justify a right of return or a claim for credit or replacement.

Returns may be excluded for special purchases, opened containers, customer-specific orders, or products with a limited shelf life.

retention of title

The goods remain the property of SILITECH until all claims arising from the business relationship have been paid in full.

The customer undertakes to treat the goods with care and to inform third parties of the retention of title.

Compliance, export control, end use, documents

The customer shall ensure that the intended use, final recipient, and end use are lawful and that all applicable export, import, sanctions, and chemical regulations are complied with.

Required documents (e.g., import permits, end-use statements, special registrations) must be provided in a timely manner. Delays and costs due to missing documents shall be borne by the customer, unless caused by SILITECH.

Safety data sheets and other accompanying documents are provided as available. The manufacturer's current documents are authoritative.

Data protection

SILITECH processes personal data exclusively for the purpose of conducting business relations, communication, contract fulfillment, and compliance with legal obligations.

Force majeure

Events beyond SILITECH's control (e.g., natural disasters, war, strikes, pandemics, official measures, transport disruptions, supply bottlenecks) are considered force majeure.

In cases of force majeure, delivery times shall be extended accordingly. SILITECH may also withdraw from the contract in whole or in part if fulfillment becomes permanently unreasonable.

Place of jurisdiction, applicable law, exclusion of CISG

The place of performance and exclusive place of jurisdiction is Gümligen, Switzerland.

Swiss law applies exclusively. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

Severability clause

Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
