GENERAL TERMS AND CONDITIONS (GTC).

These General Terms and Conditions (GTC) apply to all deliveries and services of Silitech AG. Deviating or supplementary conditions of the customer shall only become part of the contract if they have been expressly acknowledged in writing by Silitech AG.

A contract is concluded through the written confirmation of the order by Silitech AG or through the delivery of the goods. Offers from Silitech AG are non-binding and subject to change.

All prices quoted are in Swiss Francs (CHF) plus the applicable statutory value-added tax and shipping and packaging costs. Payment is to be made within 30 days from the invoice date without deductions, unless otherwise agreed. In the event of late payment, interest on arrears will be charged at a rate of 5% per annum. Silitech AG reserves the right to carry out deliveries only against advance payment at its own discretion.

The delivery is made from stock at the customer's expense and risk. The risk passes to the customer upon handover of the goods to the transport company. Information on delivery times is non-binding. Partial deliveries are permitted unless the customer has expressly objected.

The goods remain the property of Silitech AG until all claims arising from the business relationship have been paid in full. The customer undertakes to handle the goods with care and to inform third parties of the existing retention of title.

The customer must inspect the goods immediately upon receipt and report any defects in writing within 7 days. Hidden defects must also be reported in writing within 7 days of discovery. In the case of justified complaints about defects, Silitech AG has the right to subsequent performance (repair or replacement delivery). Further claims by the customer, particularly claims for damages, are excluded unless there is intent or gross negligence.

Silitech AG is only liable for damages caused by intentional or grossly negligent behaviour. Liability for indirect damages, consequential damages, or lost profits is excluded. Liability for slight negligence is excluded to the extent permitted by law.

Returns of goods are only possible with prior written consent from Silitech AG. The goods must be returned undamaged, unused, and in their original packaging. The customer bears the costs of the return, unless the return is due to a defect for which Silitech AG is responsible.

The Silitech AG collects, stores, and processes personal data of the customer exclusively for the purpose of managing the business relationship. All personal data is treated confidentially and is not disclosed to third parties unless this is necessary for the fulfilment of the contract.

In the event of force majeure that prevents Silitech AG from fulfilling its contractual obligations, Silitech AG is entitled to postpone deliveries for the duration of the hindrance or to withdraw from the contract. Force majeure includes all events that are beyond the control of Silitech AG and that make the fulfilment of delivery obligations impossible or significantly more difficult.

The place of performance and the exclusive jurisdiction for all disputes arising from or in connection with this contract is the registered office of Silitech AG in Gümligen, Switzerland. Swiss law shall apply exclusively, excluding the UN Sales Convention (CISG).
